Agreement to Legal Terms

Jakob Mösslacher („Company“, „we“, „us“, „our“), with registered office in 1130 Vienna, Austria (VAT ID: 35814832), operates the SetnMatch platform at setnmatch.com and all related products and services that reference these terms (collectively the „Services“).

These terms of use constitute a legally binding agreement between you (whether as an individual or on behalf of an entity) and Jakob Mösslacher. By accessing the Services, you confirm that you have read and understood these terms and that they apply to you. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE NOT PERMITTED TO USE THE SERVICES AND MUST CEASE USE IMMEDIATELY.

Additional terms or documents we publish in the Services from time to time are incorporated by reference.

We reserve the right to modify these terms at any time. We will indicate changes by updating the date at the end of this document. It is your responsibility to review the terms regularly. Continued use after publication of changes constitutes acceptance of the modified terms.

The Services are intended for users who are at least 18 years old. Persons under 18 may not use or register for the Services.

We recommend keeping a copy of these terms for your records.

1. Our Services

The information provided through the Services is not intended for use in countries where such use would violate applicable laws or subject us to registration requirements. Users accessing from other locations do so at their own responsibility and are responsible for complying with local regulations.

2. Intellectual Property

We own or license all intellectual property rights in our Services, including source code, databases, features, software, designs, texts, images, graphics, trademarks, and logos. These are protected by copyright, trademark law, and other statutes.

Subject to compliance with these terms, we grant you a non-exclusive, non-transferable, revocable license to use the Services and to download or print content to which you have proper access. No part of the Services may be copied, reproduced, distributed, or used commercially without our express written permission.

Any violation of these rights results in immediate termination of your right to use the Services.

Submissions: By directly sending questions, comments, suggestions, or feedback, you assign us all rights to such content. We may use and distribute it without restriction.

Contributions: When you post content in the Services (e.g. in chat, forums), you grant us a worldwide, non-exclusive, transferable, royalty-free license to use, reproduce, distribute, and publicly display such contributions for any purpose. You confirm that you have the rights to the content and will not post prohibited content.

You are solely responsible for your contributions and liable to us for damages arising from violations. We reserve the right to remove or edit contributions at any time that violate these terms.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration data is truthful and complete; (2) you will keep this data current; (3) you are legally capable and agree to comply with these terms; (4) you are of legal age; (5) you do not access via bots or automated means; (6) you do not use the Services for illegal purposes; (7) your use does not violate applicable law. Incorrect information entitles us to suspend or terminate your account.

4. Registration

Registration may be required for certain features. You will keep your password confidential and are responsible for use of your account. We reserve the right to remove or change inappropriate usernames.

5. Prohibited Activities

You agree not to:

  • Systematically retrieve data to create databases without our permission
  • Defraud or mislead other users, especially to obtain access credentials
  • Circumvent or disrupt security features
  • Defame or harm us or the Services
  • Harass, abuse, or harm others using information obtained from the Services
  • Abuse support or submit false abuse reports
  • Use the Services in violation of applicable law
  • Engage in unauthorized framing or linking
  • Upload malware, spam, or disruptive material
  • Use automated means (scripts, bots, data mining) without permission
  • Remove copyright or ownership notices
  • Impersonate others or use another user's username
  • Use spyware or passive collection mechanisms
  • Disrupt or overload the Services or related networks
  • Harass or threaten our staff
  • Circumvent access restrictions
  • Copy, decompile, or reverse engineer the software
  • Use scrapers, bots, or similar tools
  • Collect user data without authorization for spam or automated accounts
  • Use for competition or commercial purposes without our approval
  • Sell or transfer your profile

6. User-Generated Contributions

The Services allow you to create and share content. Contributions may be viewed by other users and potentially third parties. You warrant that your contributions:

  • Do not infringe third-party rights (copyright, trademarks, etc.)
  • Originate from you or you have the required rights
  • Have the required consent for identifiable persons
  • Are not false or misleading
  • Do not constitute unsolicited advertising, spam, or chain letters
  • Are not obscene, violent, offensive, or discriminatory
  • Do not defame or threaten anyone
  • Comply with applicable law
  • Do not violate third-party privacy or publicity rights
  • Do not contain discriminatory statements
  • Are consistent with these terms

Violations may result in termination or suspension of your right to use the Services.

7. Contribution License

By posting contributions, you grant us a worldwide, non-exclusive, transferable, royalty-free, perpetual license to host, use, reproduce, distribute, publicly display, and create derivative works. You retain ownership of your contributions. You are liable to us for damages arising from your contributions. We may edit, categorize, or delete contributions at any time.

8. Third-Party Websites and Content

The Services may contain links to external websites or third-party content. We do not verify these for accuracy or completeness and assume no responsibility. Access to external offerings is at your own risk. You should review the terms and privacy practices of each external website. We are not liable for purchases from third-party providers.

9. Advertisers

We may offer advertising space in the Services. We merely provide the space and have no other relationship with advertisers.

10. Services Management

We reserve the right (but are not obligated) to: (1) monitor the Services for violations; (2) take legal action against violations; (3) deny access or remove contributions; (4) remove excessively large files; (5) manage the Services to protect our rights.

11. Privacy Policy

Privacy is important to us. Please read our privacy policy at /privacy. By using the Services, you agree to it. The Services are hosted in the EU. When accessing from other regions, your data will be transferred and processed there.

12. Copyright Infringements

We respect intellectual property rights. If you believe that material in the Services infringes your copyright, please notify us immediately at the contact details provided. Note that you may be liable for damages if you make false claims. If unsure, consult an attorney.

13. Term and Termination

These terms remain in effect while you use the Services. WE RESERVE THE RIGHT TO DENY OR RESTRICT ACCESS AT ANY TIME WITHOUT NOTICE, INCLUDING FOR VIOLATIONS OF THESE TERMS. We may delete your account and all content you have posted at any time. After suspension, you may not create a new account under a new or third party's name. We reserve the right to take legal action.

14. Modifications and Interruptions

We may modify, remove, or adjust content of the Services at any time. We are not obligated to keep content current. We are not liable for modifications, suspensions, or discontinuation. The Services may not always be available; maintenance may cause interruptions. We assume no liability for any resulting inconvenience.

15. Governing Law

These terms are governed by Austrian law. The UN Convention on Contracts for the International Sale of Goods is excluded. Consumers in the EU additionally enjoy the protection of mandatory provisions of their country of residence. Both parties submit to the non-exclusive jurisdiction of the courts in Vienna. You may assert consumer protection rights in Austria or in your EU country of residence.

16. Dispute Resolution

Disputes arising from these terms shall be resolved by an arbitrator in accordance with the arbitration rules of the European Court of Arbitration (Strasbourg). Seat of arbitration: Vienna. Language of proceedings: German. Applicable law: Austria.

Arbitration proceedings are limited to disputes between the parties. No class actions or representation of the general public.

Excluded from arbitration: disputes regarding intellectual property, theft, piracy, privacy, unauthorized use, and injunctive relief claims.

17. Corrections

The Services may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct these at any time without prior notice or to update the information.

18. Disclaimer

THE SERVICES ARE PROVIDED „AS IS“ AND „AS AVAILABLE“. USE IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE ASSUME NO LIABILITY FOR ERRORS IN CONTENT, PERSONAL OR PROPERTY DAMAGE, UNAUTHORIZED ACCESS, INTERRUPTIONS, MALWARE, OR LOSSES FROM USE OF CONTENT. WE ARE NOT LIABLE FOR PRODUCTS OR SERVICES FROM THIRD-PARTY PROVIDERS.

19. Limitations of Liability

WE ARE NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS. OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM. CERTAIN LAWS MAY LIMIT THESE RESTRICTIONS; IN SUCH CASES, THE ABOVE EXCLUSIONS MAY NOT APPLY IN FULL.

20. Indemnification

You agree to indemnify us against all third-party claims arising from your contributions, your use of the Services, violations of these terms, infringement of third-party rights, or harmful conduct toward other users. We may assume the defense; you will cooperate at our expense.

21. User Data

We store data you transmit to provide the Services. Although we perform backups, you are responsible for your data. We assume no liability for loss or corruption of your data.

22. Electronic Communications

Visiting the Services, sending emails, and completing forms constitute electronic communication. You consent to receiving electronic communications. All agreements, notices, and other communications we send you electronically satisfy legal writing requirements. You consent to the use of electronic signatures and electronic delivery. You waive any rights requiring original signatures or non-electronic records.

23. Miscellaneous

These terms and all published policies constitute the entire agreement between you and us. Failure to enforce a right does not constitute a waiver. We may assign rights and obligations. We are not liable for losses due to circumstances beyond our control. If a provision is invalid, the remainder remains in effect. No joint venture, partnership, or agency relationship is created. You waive objections based on the electronic form of these terms.
